Licensing Agreement

DEFINITIONS

For the purpose of this Licensing Agreement, the following definitions apply:

We call a “Product” any item licensed via StockVideoSecrets.com, including but not limited to video clips, visual effects, graphic packs, motion design projects, motion design files, stock images and photos, project files.

NON-EXCLUSIVE “UNLIMITED LICENSE”

StockVideoSecrets.com grants you a personal, non-exclusive, perpetual worldwide right to use each Product licensed by you (even if the license for the respective Product is set to $0 – zero dollars) in an unlimited number for any and/or all media projects created by you.

In consideration of this license, you agree to pay StockVideoSecrets.com a license fee according to the site’s current rates. The current prices and rates are present on each Product’s individual page.

Some Products or its derivatives may be offered for free (at $0 price). Despite it, this license agreement covers such products in its entirety.

PROJECTS WITH DISTRIBUTION OF 5M+

For projects for over 5M viewers/users and with worldwide distribution (films or games), please contact our team at support at stockvideosecrets.com.

LIMITATIONS OF USE

You will not:

  • sell, transfer, share, sublicense or otherwise distribute any Product, or the right to use any product to any third party, except solely within media projects created by you;
  • sell, transfer, share, sublicense or otherwise redistribute any Product in a way that’s competitive with StockVideoSecrets.com;
  • represent that any Product was created by you or a person other than the copyright holder of the Product;
  • use a Product in any media project that’s defamatory, libelous, obscene, or illegal;
  • use a Product in a way that infringes on any third party’s trademark or intellectual property right;
  • use a Product in a way that gives rise to deceptive advertising or unfair competition.

OWNERSHIP

By licensing a Product on StockVideoSecrets.com you acknowledge that StockVideoSecrets.com remains the owner of all the rights, title and interest in each Product licensed to you (even if it’s price is at $0). Each Product is protected by and subject to the Canadian copyright law and international copyright laws. StockVideoSecrets.com retains the right to sell licenses to the Products to third parties at its will and discretion.

WARRANTY

All Products are provided “as is” without warranty of any kind (express or implied).

LIMITATION OF LIABILITY

If a claim arises from the use of a Product, StockVideoSecrets.com’s total liability to you under this License Agreement will be limited to the fee paid hereunder by you to StockVideoSecrets.com for the license of such Product.

If StockVideoSecrets.com gets a notice that any Product may be subject to a claim of infringement, you will immediately stop using the Product upon notice issued by StockVideoSecrets.com. You will delete and remove the Product from your premises, computers, storage (cloud, virtual, local and physical) and make sure that your clients do the same.

StockVideoSecrets.com’s sole responsibility will be to provide you with a comparable Product (StockVideoSecrets will determine the comparability) free of charge. This will be subject to the other terms and conditions of this Licensing Agreement.

AVAILABILITY

StockVideoSecrets.com makes no warranties that all Products will be available at all times. StockVideoSecrets.com may discontinue licensing certain Products at its sole discretion.

TAXES

Fees charged by StockVideoSecrets.com do not include any taxes, duties or other government charges. You are solely responsible for any such taxes, duties or other charges, including without limitation, sales and use taxes and value added taxes.

GENERAL PROVISIONS

This Agreement shall be governed by and construed according to the laws of the Province of Quebec, Canada, and the parties hereby acquiesce to the jurisdiction of the courts of the judicial district of Montreal, Quebec.

The parties hereto have requested that this Licensing Agreement and all other documents be drafted in English. Les parties aux présentes ont exigé que cette convention de licence et tous les documents accessoires soient rédigés en langue anglaise.

Nothing in this Licensing Agreement will be interpreted as a creation of a partnership or a joint venture between the site and the licensee.

By accepting this licensing agreement, it is expressly understood that the Parties – StockVideoSecrets.com and the Product’s licensee – have no benefits, rights, duties, or obligations intended by this agreement to third parties.

AMENDMENTS

We may amend this Licensing Agreement from time to time. When we amend this Agreement, we will update this page accordingly and require you to accept the amendments in order to be permitted to continue using our Products.
